Welcome to Portfolio 360, a product of AvantiPoint, LLC (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of our website https://portfolio360.net, all related sub-domains (such as demo sites or APIs), tenant-specific domains hosted on our platform, and all associated services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

  • You must be at least 18 years old to use our Services.
  • Our Services are intended for business and professional use only.
  • By using the Services, you represent that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.

2. Accounts

  • To access certain features, you may need to register for an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities under your account, whether authorized by you or not.
  • You must notify us immediately at support@avantipoint.com if you suspect unauthorized access.

3. Use of Services

You agree not to:

  • Use the Services for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorized access to the Services, accounts, or systems.
  • Interfere with or disrupt the operation of the Services.
  • Reverse engineer, decompile, or attempt to extract source code from our Services.
  • Use the Services to store or transmit malicious code.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Tenant Responsibilities

If you are a tenant (customer organization) using Portfolio 360 to manage your own users, investors, or customers:

  • You are solely responsible for compliance with applicable privacy and data protection laws.
  • We act as a service provider/processor for tenant data.
  • You agree not to upload, share, or process data that you do not have the legal right to use.

5. Third-Party Integrations

  • Our Services may allow integration with third-party services (e.g., Microsoft, Google, Zoom, and others).
  • By enabling these integrations, you authorize us to access and use data from those services as necessary to provide functionality.
  • We are not responsible for the availability, accuracy, or practices of third-party services.

6. Payments & Subscriptions

  • Payments are processed securely by Stripe. We do not store payment card details.
  • Subscription fees are billed in advance and are non-refundable, except as required by law.
  • You are responsible for keeping your billing information accurate and up to date.
  • We may suspend or terminate Services for non-payment.

7. Intellectual Property

  • All content, trademarks, and software associated with Portfolio 360 are owned by or licensed to AvantiPoint, LLC.
  • You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
  • You may not copy, modify, distribute, or create derivative works from our intellectual property without prior written consent.

8. Service Availability

  • We strive to provide reliable and continuous Services, but we do not guarantee 100% uptime.
  • Services may be interrupted for maintenance, upgrades, or circumstances beyond our control.
  • We are not liable for any damages resulting from service interruptions.

9. Disclaimers

  • The Services are provided on an “as is and as available” basis.
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee that the Services will be error-free or secure.

10. Limitation of Liability

To the maximum extent permitted by law:

  • AvantiPoint, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.
  • Our total liability for any claims relating to the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AvantiPoint, LLC, its affiliates, officers, and employees from any claims, damages, or expenses arising from:

  • Your use of the Services,
  • Your violation of these Terms, or
  • Your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time if you:

  • Violate these Terms,
  • Fail to pay fees owed, or
  • Engage in activities harmful to the Services or other users.

Upon termination, your right to use the Services will immediately cease.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wyoming.

14. Changes to Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a new “Effective Date.” Your continued use of the Services constitutes acceptance of the updated Terms.
